These Terms of Service (“Terms”) govern your access to and use of Orbit, a fan rewards service operated by Phaeros Inc. (“Orbit,” “we,” “us,” or “our”).
By creating an account or using Orbit, you agree to these Terms. If you do not agree to these Terms, you should not use Orbit.
1What Is Orbit?
Orbit provides technology that enables artists, representatives, labels, merchants, and other organizations to operate fan rewards programs.
Orbit may allow participating fans to earn rewards and access based on qualifying activities, including purchases and other activities defined by the participating artist or organization.
Orbit provides the technology used to operate these programs. The specific rewards, benefits, eligibility requirements, and redemption rules are established by the applicable participating organization.
2Eligibility
You may use Orbit only if you are legally permitted to enter into these Terms and use the service in your jurisdiction.
If you do not meet the applicable age or legal requirements, you may use Orbit only with any consent required by applicable law.
3Your Orbit Account
Certain Orbit features require you to create an account.
You agree to provide accurate information and keep your account information reasonably current.
You are responsible for maintaining the security of your account and for activity conducted through your account.
If you believe someone has accessed your account without authorization, you should contact us promptly.
4Sign In With Google
Orbit may allow you to create or access an account using Google authentication.
When you select Continue with Google, Google authenticates your identity and provides Orbit with information that you authorize Google to share.
Orbit does not receive your Google password.
Your use of Google's services is also subject to Google's applicable terms and policies.
5Fan Rewards Programs
Each artist, representative, label, merchant, or other participating organization may establish its own fan rewards program.
Program rules may determine:
- Which activities qualify for rewards
- How rewards are earned
- Reward levels or benefits
- Redemption requirements
- Reward availability
- Reward expiration
- Eligibility requirements
- Restrictions on rewards
- How refunds or cancelled transactions affect rewards
You should review the rules applicable to the rewards program you participate in.
6Rewards and Benefits
Rewards available through Orbit may include discounts, products, experiences, access, digital benefits, or other benefits offered by a participating organization.
Unless expressly stated otherwise:
- Rewards are not cash
- Rewards have no independent monetary value
- Rewards cannot be transferred or sold
- Rewards cannot be redeemed outside the applicable program
- Rewards cannot be exchanged for cash
A participating organization may limit the availability of any reward or benefit.
Orbit does not guarantee that a particular reward, product, experience, event, or access opportunity will be available.
7Purchases and Qualifying Activity
Where Orbit is connected to a participating e-commerce store, qualifying purchases may generate rewards according to the applicable program rules.
Orbit may receive transaction information from the connected store to determine whether an activity qualifies.
If a purchase is refunded, cancelled, reversed, or otherwise adjusted, associated rewards may also be adjusted or reversed.
Orbit does not necessarily process the underlying purchase and is not responsible for the merchant's products, shipping, fulfillment, refunds, warranties, or customer service.
Those matters remain subject to the applicable merchant's terms and policies.
8Changes to Rewards Programs
Participating organizations may modify, suspend, or discontinue their rewards programs.
This may include changes to:
- Rewards
- Earning requirements
- Redemption requirements
- Eligibility
- Reward levels
- Expiration periods
- Available benefits
Where appropriate, changes may be communicated through Orbit or by the participating organization.
9Acceptable Use
You agree not to:
- Use Orbit for unlawful purposes
- Create fraudulent accounts
- Provide false or misleading information
- Manipulate purchases, transactions, or reward activity
- Attempt to obtain rewards through unauthorized means
- Use bots or automated systems to abuse a rewards program
- Attempt to access another person's account
- Circumvent security or authentication mechanisms
- Interfere with the operation of Orbit
- Reverse engineer Orbit except where permitted by applicable law
- Use Orbit to infringe another person's rights
We may suspend or terminate accounts or access where reasonably necessary to protect Orbit, participating organizations, or other users.
10Account Suspension and Reward Adjustments
We may suspend an account or restrict access to Orbit where we reasonably believe that an account has been compromised, used fraudulently, or used in violation of these Terms.
Rewards associated with fraudulent, reversed, cancelled, or otherwise invalid activity may be removed or adjusted.
A participating organization may also establish additional rules concerning reward eligibility and adjustments.
11Intellectual Property
Orbit and its software, technology, design, trademarks, branding, content, and other materials are owned by or licensed to Phaeros Inc.
These Terms do not grant you ownership of Orbit or its intellectual property.
You may use Orbit only for its intended purpose and in accordance with these Terms.
12Third-Party Services
Orbit may integrate with third-party services, including Google and Shopify.
Third-party services may have their own terms, privacy policies, and requirements.
Orbit is not responsible for the availability, functionality, security, or policies of third-party services.
13Privacy
Your use of Orbit is also governed by our Privacy Policy.
The Privacy Policy explains what personal information Orbit collects, how we use it, how information may be shared, and the choices available to you.
14Service Availability
We work to keep Orbit available and reliable, but we do not guarantee that Orbit will always be available, uninterrupted, secure, or error-free.
We may modify, suspend, or discontinue any part of Orbit where reasonably necessary.
15Disclaimers
To the maximum extent permitted by applicable law, Orbit is provided on an “as available” basis.
Orbit does not guarantee:
- That Orbit will always be available
- That rewards will always be available
- That a participating organization will continue operating a rewards program
- That a particular reward or benefit will be provided
- That Orbit will be error-free or uninterrupted
Nothing in these Terms excludes or limits rights or remedies that cannot legally be excluded or limited.
16Limitation of Liability
To the maximum extent permitted by applicable law, Phaeros Inc. and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of Orbit.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
17Termination
You may stop using Orbit at any time.
We may suspend or terminate your access to Orbit where permitted by these Terms or applicable law.
Participating organizations may also discontinue your participation in their rewards programs in accordance with their applicable program rules.
Provisions that by their nature should survive termination will continue to apply.
18Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the “Last updated” date above and provide additional notice where required.
Your continued use of Orbit after updated Terms become effective constitutes acceptance of the updated Terms, where permitted by law.
19Governing Law
These Terms are governed by the laws of Ontario, Canada, and the applicable laws of Canada, without regard to conflict-of-law principles.
Any dispute will be subject to the applicable courts of Ontario, unless applicable law requires otherwise.
